These Terms of Service (“Terms”) govern your access to and use of the aigent-c platform, AI agents, and related services.

By accessing or using our services, you agree to be bound by these Terms.

 

1. Definitions

  • “Platform” means the aigent-c web portal and software services.
  • “Client Data” means data submitted by users through the platform.
  • “User” means an individual accessing or using the service on behalf of a company or organization.

 

2. Eligibility

You must be 18 or older and authorized to represent your organization. By using our services, you affirm this eligibility.

 

3. License

Subject to these Terms and your payment of applicable fees, aigent-c grants you a non-exclusive, non-transferable, limited license to use the platform and AI agents during the subscription term.

 

4. Acceptable Use

You agree not to:

  • Use the platform for unlawful or harmful purposes
  • Scrape or reverse-engineer the platform
  • Upload malicious code, viruses, or infringe on others’ rights
  • Misrepresent the purpose or identity of your inputs

 

5. Confidentiality & IP

  • Your Data: You retain ownership of your business and usage data.
  • Our IP: aigent-c retains all rights to its AI agents, methodologies, templates, and software.
  • Feedback: If you give us suggestions or improvements, we may use them royalty-free.

 

6. Payment & Subscriptions

  • Fees are specified in your individual service agreement or subscription plan.
  • All payments are due in USD and are non-refundable unless stated otherwise.
  • Failure to pay may result in suspension of services.

 

7. Warranties & Disclaimers

aigent-c provides services “as is” and makes no warranties regarding AI accuracy, fitness for purpose, or uninterrupted access. AI-generated responses should be reviewed for correctness and appropriateness.

 

8. Limitation of Liability

To the fullest extent permitted by law, aigent-c’s liability is limited to the amount paid in the last 6 months. We are not liable for lost profits, indirect damages, or third-party claims arising from use of our AI services.

 

9. Termination

We may suspend or terminate access if you violate these Terms. You may cancel your subscription at any time with 30 days’ notice unless specified otherwise in your agreement.

 

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Disputes shall be resolved via binding arbitration in New York, NY, unless otherwise agreed.

 

11. Data Processing & AI Outputs

By using our services, you acknowledge that:

  • aigent-c may use third-party LLMs (e.g., OpenAI, Relevance AI) to generate outputs.
  • You are responsible for vetting outputs before using them in business decisions.
  • You have obtained any necessary consents for data you submit.

 

12. Updates to Terms

We may revise these Terms with notice to users. Continued use after changes implies agreement.
